Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Kibin, Inc. ("Kibin," "we," "us," or "our") governing your access to and use of the Kibin website, applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

ARBITRATION NOTICE: Except for certain disputes described in Section 11, you agree that disputes between you and Kibin will be resolved by binding, individual arbitration, and you waive your right to a jury trial or to participate in a class action.

1. Eligibility

The Service is not available to users under 13 years old. If you are between 13 and 18 (or the age of majority in your jurisdiction), you may use the Service only with the consent of a parent or legal guardian who agrees to these Terms on your behalf.

2. Your Account

You must provide accurate information when creating an account. You are responsible for all activity under your account and for keeping your authentication credentials secure. Notify us immediately at help@kibin.com if you suspect unauthorized access to your account.

3. License to Use the Service

Subject to these Terms, Kibin grants you a non-transferable, non-exclusive, revocable, limited license to use the Service for your own personal, noncommercial use. You may not: (a) sell, rent, lease, or commercially exploit the Service; (b) reverse engineer, decompile, or disassemble any part of the Service; (c) access the Service to build a competing product; or (d) copy, reproduce, or distribute any part of the Service.

4. Subscriptions and Payments

4.1 Plans

Certain features require a paid subscription ("Pro"). Subscriptions are available on weekly, monthly, and annual billing cycles. Prices are displayed at the time of purchase.

4.2 Free Trials

We may offer free trial periods. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan and you will be charged. Trial eligibility is limited to one per person. If you delete your account and re-register, you may not be eligible for another free trial.

4.3 Billing and Renewal

Subscriptions automatically renew at the end of each billing period unless canceled. You can cancel at any time through your account settings, the Stripe customer portal, or (for Apple-billed subscriptions) via your Apple ID subscription settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods except as required by law.

4.4 Price Changes

We may change subscription prices with reasonable notice. Price changes take effect at the start of your next billing period after the change.

4.5 Taxes

Prices do not include taxes. You are responsible for any applicable taxes associated with your subscription.

5. Your Content

5.1 Ownership

You retain ownership of content you upload to the Service ("User Content"), including notes, documents, audio files, and other materials. You are solely responsible for your User Content and for ensuring you have the right to upload it.

5.2 License to Kibin

By uploading User Content, you grant Kibin a non-exclusive, royalty-free, worldwide license to use, process, store, and display your User Content as necessary to provide the Service. This includes processing your content through AI services to generate quizzes, flashcards, summaries, and explanations.

5.3 Deletion

You may delete your User Content at any time. When you delete your account, we delete your User Content in accordance with our data retention policies. Some data may be retained as required by law or for legitimate business purposes (such as preventing free tier abuse).

5.4 Acceptable Use

You agree not to: (a) upload unlawful, infringing, or harmful content; (b) use the Service to harass, threaten, or harm others; (c) attempt to bypass security measures or usage limits; (d) use the Service for any commercial transcription, content generation, or resale purpose; (e) use automated tools to scrape or extract data from the Service; or (f) violate any applicable law.

6. AI-Generated Content

The Service uses artificial intelligence to generate study materials including quizzes, flashcards, summaries, and explanations. AI-generated content is provided for educational purposes only. While we strive for accuracy, AI-generated content may contain errors, omissions, or inaccuracies. You should not rely solely on AI-generated content for academic, professional, medical, legal, or financial decisions. Kibin is not responsible for any consequences of relying on AI-generated content.

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by Kibin, Inc. and are protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

8. Account Deletion and Abuse Prevention

You may delete your account at any time through Settings. When you delete your account, we delete your personal data and study materials. However, we retain a record of your email address and usage history to prevent abuse of our free tier. If you re-register with a previously deleted email, you may not be eligible for a free upload or free trial.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KIBIN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. KIBIN DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIBIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. KIBIN'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO KIBIN IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Dispute Resolution

11.1 Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall take place in San Luis Obispo County, California, or remotely as agreed by the parties. The arbitrator's decision is final and binding.

11.2 Class Action Waiver

You agree to resolve disputes with Kibin on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding.

11.3 Opt-Out

You may opt out of the arbitration agreement by sending written notice to help@kibin.com within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out.

11.4 Exceptions

Either party may bring claims in small claims court. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and dispute resolution) will survive.
